History (1899 - Present)

CSC has a proud history and a progressive future. Read our story.

1899

  • The state of Delaware adopts the Delaware General Corporation Law, landmark legislation that simplified the legal process of incorporation and granted certain tax advantages to corporations.
  • Otho Nowland, president of Equitable Guarantee & Trust Company, shares an idea with Christopher Ward, a young Wilmington attorney. Nowland proposes that Ward establish an agency to assist with outside counsel in organizing corporations and acting as their local registered agent. Ward agrees and, with an initial investment of $1,500, launches the Delaware Incorporators' Trust Company.
  • Josiah Marvel — a well-respected attorney and leader of the American Bar Association, Delaware Bar Association and Delaware State Chamber of Commerce — pioneers a similar incorporation company designed to register companies as corporate entities within the state of Delaware.


1920

  • Ward and Marvel, both visionaries in conceiving Delaware's future as America's corporate capital, join their companies together to create Corporation Service Company®.


1920s - 1970s

  • CSC works exclusively with Delaware corporations. Business grows steadily as a result of word-of-mouth referrals.
  • CSC prospers, as does Delaware's reputation as the "Corporate State."


1975

  • Daniel R. Butler joins CSC as part-time president. CSC has only a dozen employees at the time.


1976 - 1979

  • Under Butler's direction, CSC sets out on a path of accelerated growth.
  • CSC grows from a small, regional service provider to one of the industry's leading privately held companies, achieving record annual sales increases.


1980 - 1985

  • CSC continues to grow and is further boosted by the sale of its successful subsidiary, Delaware Charter Guarantee & Trust Company.


1990

  • CSC acquires Florida-based Corporate Information Services (CIS). This acquisition marks the first in a series of regionally based acquisitions designed to broaden CSC's marketplace beyond the state of Delaware.


1991 - 1998

  • CSC acquires nine respected service providers, including the venerable Prentice Hall Legal & Financial Services in 1995, and Entity Service Group, LLC in 1998.
  • CSC continues to open new offices and service centers in key locations throughout the United States.


2000

  • Understanding the critical role that the Internet will increasingly play in the corporate services industry, CSC launches two Internet companies.
  • CSC expands its market by offering incorporation and registered agent services to targeted small-business sectors.
  • The Capital Trust Company of Delaware is formed to provide corporate trustee services to personal and Delaware business trusts.


2002

  • CSC acquires the Powerbrief® litigation management application in order to provide lawyers and their clients with affordable litigation and matter management services. Corporate Domains Inc., a wholly-owned subsidiary of CSC, becomes an ICANN-accredited registrar, managing domain names for many Fortune 500® companies.
  • CSC launches RecordsCenter, a comprehensive online suite of integrated compliance, governance and intellectual property services.


2003

  • CSC takes the industry lead in Uniform Commercial Code (UCC), secured lending and motor vehicle services when it acquires LexisNexis™ Document Solutions.


2004

  • CSC becomes the market leader in assisting new company formations in Delaware.
  • Two of CSC's services achieve significant milestones: RecordsCentersm becomes the most frequently installed entity management system, and PowerBrief®reaches more than 5,000 legal professional active users, more than 200 legal departments and more than 5 million case files.


2005

  • CSC further strengthens product offerings through key acquisitions: The purchase of Diligenz, Inc. and US Corporate Services enhances and expands CSC's UCC services, while the purchase of eBrandSecure expands CSC's global name management services.
  • CSC completes the acquisition of Entity Services, the largest and most respected nonbank, full-service Passive Investment Companies (PIC) service provider.
  • CSC introduces Sameday SOPsm, a revolutionary new service for receiving, processing and distributing Service of Process (SOP), enabling same-day electronic delivery of SOP to registered agent clients.


2006

  • CSC becomes the world's leading provider of corporate domain name management and brand-protection services when it acquires Register.com's corporate services division.


2007

  • CSC acquires NameProtect, further enhancing and expanding its trademark clearance services and digital brand-monitoring products and services.
  • CSC ranks ninth on the Best in the Business, an award provided for outstanding places to work in Delaware.
  • CSC launches the CSC Dashboard - a fully customizable workspace for customers to access real-time information about your litigation, transactions, compliance, governance and intellectual property.


2008

  • CSC introduces the CSC Matter Management system for corporate legal departments to mitigate risk and reduce cost, on a single integrated platform.
  • CSC is once again named to the Best in the Business list, an award provided for outstanding places to work in Delaware.
  • CSC expands entrepreneurial services with the acquisition of Business Credit Services, Inc., a pioneering provider of financial credit solutions and consulting services for small business owners.


2009

  • This year marks the 110th year of CSC outstanding service in the corporate, legal, and financial industries.
  • For the third consecutive year, CSC is named on the Best in the Business list, an award provided for outstanding places to work in Delaware.
