Delaware requires all Domestic Corporation annual franchise tax reports to be filed electronically. Q: Can I use DE E-filing for all of my entities, even when CSC is not the DE Registered Agent? Yes. With CSCGlobal web access, DE E-filing users can now take advantage of DE E-filing to file all their Delaware reports at one time. Adding entities to your portfolio is as easy as typing in the Delaware State ID. And even better, with the purchase of RecordsCenter, CSC's Entity Management system, you will be able to add the entities to your Portfolio permanently. Q: Am I required to file electronically for other entity types, Limited Partnerships, Limited Liability Companies, General Partnerships, Delaware foreign qualified corporations, etc.? LPs, LLCs, and GPs will continue to receive paper notices and will have the option to pay the DE entity tax electronically or by mail. You may use CSC's DE E-filing to make your payments and take advantage of the batch filing and convenient payment methods. Delaware foreign qualified corporations will continue to receive paper notices, and there currently is no facility for filing these reports electronically. You must continue to mail the reports and payments as instructed by the notices. Q: Can I make my quarterly franchise tax payments electronically? No. Currently, the state of Delaware does not accept quarterly tax payments electronically. Delaware will continue to send paper notices, and you will need to continue to make payments as you have done in previous years. If you need a copy of your tax notice or assistance in processing your quarterly payments, please contact the CSC Delaware Tax Hotline (888) 690-2468. Q: Where is my annual report? Where and when did you send it? All Domestic Corporation Franchise Tax Report filings must be made electronically, and paper reports will NOT be available. In place of the reports, CSC provides a formal notice, which includes instructions on how to file annual reports and pay the franchise tax electronically. CSC will mail notices to the companies for which we act as Registered Agent in Delaware. The mailings will be sent by January 15, 2010, but copies of notices, including payment instructions, will be available upon request. Reports for All other entity types, Foreign Corporations, LPs, LLCs, and GPs will be mailed as in previous years. If you have not received a notice, you may contact the CSC Delaware Tax Hotline (888) 690-2468. Q: My company was formed in the beginning of December. Do I have to file a 2009 Annual Report? All domestic corporations incorporated on or before December 31, 2009 must file a 2009 annual report electronically and pay the appropriate franchise tax. Corporations formed after December 5, 2009 will receive instructions on how to file their annual report prior to January 15, 2010. Q: Are you, as my registered agent, responsible for filing this report for me? What services do you provide as registered agent? As a registered agent, CSC is responsible for forwarding all legal documents and tax materials received on behalf of the entities for which we are agent to the contacts and addresses in our records. It is the responsibility of each company to make any required filings. To avoid penalties, all electronic filings must be submitted by midnight of the due date (Eastern Standard Time, USA). For filings that are sent by mail or overnight, the filings must be Received (Not Postmarked) by the due date. The statutory due dates are as follows:
Penalty: If the report is filed after midnight of the date due, a substantial monetary penalty is assessed, and interest is assessed monthly on any unpaid balance. With DE E-filing, you will receive a confirmation e-mail when your filings are accepted, and on-line status reports are available throughout the year. Starting with the 2007 tax year, Delaware law requires all entities to list the names and addresses of ALL Directors, as well as the name title and address of one Officer. In addition, the principal place of business, wherever it is located, must be included and the telephone number. The nature of business is now optional. The State of Delaware will accept electronic signatures, so there is no longer a need to file a paper report. CSC DE E-filing will maintain the information for all entities for which we are the registered agent for subsequent years. In addition, any users of RecordsCenter, CSC's entity management tool, will have a quick and easy wizard to copy their stored Officer and Directors' data directly into the DE E-filing application. Can I still file this report? The State of Delaware requires that an amendment be filed with the Secretary of State of Delaware to amend corporate stock. If you have changed your corporate stock and have not filed an amendment with the State of Delaware, you must file the annual report with the information that is currently on file with the state. Best practice is to use CSC's DE E-filing application to calculate your tax. Since DE E-filing is updated daily from Delaware state database, it incorporates any 2008 year stock changes, all previous tax payments, and the most up to date penalty and interest assessments. By entering the gross assets and issued shares into a simple form, you will be able to easily and accurately calculate your tax liability for the current year. With a CSC Global password, you will be able to use DE E-filing calculator when CSC is not the Registered Agent. To estimate future tax liability, you can use the Alternative Tax Calculator available in your DE Tax Toolkit. The calculator will compute your tax based on the alternative "assumed par value method" or the "authorized share method". Q: I paid on the alternate method last year but my report is reflecting a higher tax than I paid last year. Why? Each new tax year, Delaware automatically defaults to the "authorized shares" method even for companies that used the alternative "assumed par value" method for the previous year. The company will need to reenter gross assets and issued shares every year and recalculate the tax based on the Alternative "assumed par value method."
